REGISTRATION
1. A distinct existing organized group or entity acceptable to Vogue must be in charge and take responsibility for arranging and hosting the event.
2. The participating organization or entity must also request approval from Fashion’s Night Out via the specifically dedicated website registration page on www.fashionsnightout.com and supply full detailed information about its plans for the event.
3. Fashion’s Night Out has the sole discretion to approve or disapprove any request.
4. The participating organization or entity will indemnify and hold harmless Conde Nast, its officers, directors, employees, contractors, representatives, and agents from and against any and all liabilities, claims, demands, judgments, costs and expenses (including reasonable attorneys’ fees) and causes of action (collectively “Losses”) arising in connection with the event, including but not limited to claims based on bodily injury, property damage, intellectual property infringement, except to the extent that such Losses are the result of Vogue’s gross negligence or willful misconduct.
5. The participating organization or entity must maintain in effect throughout the period of the event commercial general liability insurance, including coverage for bodily injury and property damage, liquor liability (if needed), contractually assumed liability and independent contractors, in amounts no less than a combined single limit of $1 million per occurrence and $2 million in the aggregate. The participating organization or entity shall also provide statutory workers compensation coverage (or equivalent insurance depending on the country) and employers liability insurance for limits no less than $500,000. The organization or entity will provide a certificate of insurance to Vogue, evidencing the foregoing and naming Condé Nast as an additional insured as respects general liability insurance. In the event there is a material change, reduction, cancellation or non-renewal of such policy, the entity shall provide thirty (30) days written notice to Vogue.
a. If you are a participating retailer in the City of New York and would like to host an event in an additional location(s) in the United States or Canada, you will need to provide a certificate of insurance that is broad enough to cover all locations.
6. The overall goals of each Fashion’s Night Out activity must be adhered to, and no activity should be out of step with the mission of Fashion’s Night Out.
7. The organizing group may not make any profit from Fashion’s Night Out or charge a fee for participating.
8. Publicity
a. The participating organization or entity must build and maintain its own website and Fashion’s Night Out may, at its sole discretion, link to the participating organization or entity’s website.
b. Fashion’s Night Out may promote the organization’s efforts through social media, or otherwise, as we see fit.
9. The participating organization or entity may not use the names “Vogue”, “CFDA” or “NYC & Company” in any connection to its events or suggest that its events are sponsored by the foregoing.
a. The use of the mark “Fashion’s Night Out” inures solely to the benefit of Advance Magazine Publishers Inc.
b. Participating organization and retailers acquire no trademark rights in Fashion’s Night Out and Fashion’s Night Out logo.
c. The Fashion’s Night Out logo must not be altered in any way and must be used exactly in accordance with Fashion’s Night Out specifications. A style guide detailing usage of the logo outside of NYC will be sent to approved applicants.
